Terms of Service
The legal agreement that governs your use of TaxiDex. Read it; we won't hide anything in font size 4.
1. Acceptance
By signing up for, accessing, or using the TaxiDex platform (“Service”), you agree to these Terms of Service. If you're entering on behalf of an organisation, you confirm you have authority to bind that organisation. If you do not agree to these Terms, you must not access or use the Service.
2. The Service
TaxiDex provides cloud-based taxi and limo dispatch software delivered as a multi-tenant SaaS. The Service comprises a web-based operations console and white-label Flutter passenger and driver apps, together with the supporting infrastructure and APIs that connect them.
The platform includes, without limitation:
- Dispatch & operations— live operations map with driver markers, status halos and SOS panic alerts, an auto-dispatch rules engine, a drag-and-drop dispatch board, driver pre-assignment, the ops command center, and the incidents (SOS) console.
- Bookings— an embeddable web booker widget, recurring and bulk bookings, flight-aware airport pickups, a customer self-service portal, and public track-my-ride links.
- Fleet management— driver profiles, shifts, documents and PDA settings; vehicles, vehicle types and attributes; maintenance and daily job sheets.
- Fares & payments— an enterprise fare engine with map-drawn zones, zone-to-zone pricing, surge and surcharge rules, per-region tax rules and promo codes, plus card payments via Stripe and Square including Apple Pay and Google Pay.
- Finance, marketing & analytics— commission plans, driver settlements and Stripe Connect payouts, AR invoices, corporate billing and P&L; broadcasts, loyalty and referrals; booking, customer and earnings reports.
- AI & sustainability— AI demand forecasting and fraud detection, plus CO2e per-trip tracking and EV fleet support.
Specific features available to you depend on the plan you select and your region. We may add, change, or remove features over time as the Service evolves.
3. Accounts & Eligibility
You must be at least 18 and have authority to bind your business. You're responsible for safeguarding credentials and for all activity under your account, including the actions of dispatchers, drivers, and other team members you invite. Tell us within 24 hours of suspected unauthorised access at security@taxidex.com.
4. Acceptable Use
Don't: reverse-engineer the Service; resell it without permission; use it to violate laws; transmit malware; harass anyone; or interfere with other customers. We may suspend accounts that materially breach this section.
5. Fees & Billing
Subscriptions are billed monthly or annually in advance per the plan you select. Per-vehicle counts are measured monthly by the highest number of vehicles active in any 24-hour window. Annual plans include a 20% discount but are non-refundable mid-term. Past-due accounts may be suspended after 14 days and terminated after 60 days.
6. Term, Renewal & Cancellation
Monthly subscriptions renew monthly; annual subscriptions renew annually. Cancel anytime from your billing settings or by emailing billing@taxidex.com. Cancellations take effect at the end of the current paid term. No partial refunds for unused time.
7. Intellectual Property
We own all rights in the TaxiDex platform. You retain all rights in your data, your brand, and content you upload. You grant us a limited licence to host, process, and display your data solely to provide the Service.
8. Customer Data & Privacy
Data handling is governed by our Privacy Policy and, for business customers, the Data Processing Addendum (DPA) referenced therein. We do not sell customer data.
9. Service Levels
We target 99.9% monthly uptime, measured per our public status page. Service credits apply for confirmed breaches per our SLA schedule.
10. Disclaimers
The Service is provided “as is” without warranties beyond those required by law. We don't warrant that the Service will be uninterrupted or error-free. Mapping, routing, and ETA predictions are provided by third-party providers and may be inaccurate.
11. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising from or relating to these Terms shall not exceed the fees you paid us in the 12 months preceding the claim. Neither party is liable for indirect, incidental, special, or consequential damages.
12. Indemnification
You agree to defend and indemnify us against third-party claims arising out of your breach of these Terms, your data, or your unlawful use of the Service. We will defend and indemnify you against third-party claims that the Service infringes their intellectual property.
13. Governing Law
These Terms are governed by the laws of the State of California, USA. Disputes are exclusively resolved by binding arbitration in Los Angeles, California, per JAMS rules, except either party may seek injunctive relief in a court for IP claims.
14. Changes to these Terms
We may update these Terms; material changes are notified to account admins at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
