By accessing or using TaxiDex's taxi dispatch software, mobile applications, websites, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing our Services. The materials contained in our Services are protected by applicable copyright and trademark law.

2. Services Description

TaxiDex provides a comprehensive taxi dispatch and fleet management platform that includes:

• Real-time dispatch software for taxi companies and fleet operators
• Mobile applications for drivers and passengers
• Web-based booking systems
• Payment processing services
• Analytics and reporting tools
• Customer support services

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, including the availability of any feature, database, or content.

3. Registration & Accounts

3.1 Account Creation

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you discover or suspect any security breaches related to our Services

If you purchase a subscription, it will automatically renew at the end of each billing cycle until you cancel it through your account settings or by contacting our support team.

5. User Conduct

You agree not to engage in any of the following prohibited activities:

• Copying, distributing, or disclosing any part of our Services in any medium
• Using any automated system to access our Services in a manner that sends more request messages than a human could reasonably produce
• Transmitting spam, chain letters, or other unsolicited email
• Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions
• Taking any action that imposes an unreasonable load on our infrastructure
• Uploading invalid data, viruses, worms, or other software agents

You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit any of the content, software, materials, or Services in whole or in part.

7. Privacy & Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our Services, you agree to the collection and use of information in accordance with our Privacy Policy.

You are responsible for complying with all applicable data protection laws when using our Services, including obtaining any necessary consents from your drivers and passengers.

8. Termination

We may terminate or suspend your account and bar access to our Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

If you wish to terminate your account, you may simply discontinue using our Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

Your use of our Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

TaxiDex, its subsidiaries, affiliates, and its licensors do not warrant that a) the Services will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your requirements.

10. Limitation of Liability

In no event shall TaxiDex, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

This limitation of liability section applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if TaxiDex has been advised of the possibility of such damage.

11. Indemnification

You agree to defend, indemnify, and hold harmless TaxiDex and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of our Services
• A breach of these Terms
• Any claim that your use of our Services harmed a third party

This indemnification obligation will survive these Terms and your use of our Services.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our Services.
